Terms of Service

Welcome to Guest List. By accessing or using our platform at ontheguestlist.app (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Description of Service

Guest List is an event photo platform that allows event attendees (“Guests”) to view and receive photos from events they attended, and allows event organizers and photographers (“Creators”) to upload, manage, and distribute event photographs.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet these eligibility requirements.

3. Account and Authentication

  • Guests authenticate via email and one-time passcode (OTP), or via Google Sign-In.
  • Creators authenticate via email and password, or via Google Sign-In.
  • You are responsible for maintaining the security of your account and for all activities that occur under your account.
  • You agree to provide accurate information and to update it as necessary.

4. Acceptable Use

You agree not to:

  • Upload, share, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;
  • Use the Service for unauthorized surveillance or tracking of individuals;
  • Attempt to circumvent security measures, consent requirements, or access controls;
  • Scrape, crawl, or use automated means to access the Service without our prior written consent;
  • Upload content that infringes on the intellectual property rights of others;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use the Service in violation of any applicable federal, state, local, or international law or regulation.

5. Compliance with Laws

You agree to comply with all applicable federal, state, local, and international laws, statutes, ordinances, and regulations in connection with your use of the Service. You are solely responsible for ensuring that your use of the Service is in compliance with all laws applicable to you.

6. Content Ownership and License

Your content: You retain ownership of all content you upload (photos, profile pictures). By uploading content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, create derivative works from (including thumbnails, previews, and optimized versions), process, store, distribute, and publicly display your content solely for the purposes of operating, improving, and promoting the Service. This license ends when you delete the content or your account, except where the content has been shared with others and they have not deleted it.

Uploader representations and warranties: By uploading content to the Service, you represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and releases to upload and share such content on the Service; (b) to the extent your content depicts identifiable individuals, you have obtained their consent or have a lawful basis (such as legitimate interest for event photography) for sharing their likeness through the Service; (c) your content does not infringe any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights; and (d) you will comply with all applicable laws regarding the collection, use, and sharing of images of individuals. You are solely responsible for the content you upload and the consequences of sharing it through the Service.

Content moderation: We reserve the right, but are not obligated, to review, refuse, or remove any content that we believe in our sole discretion violates these Terms, applicable law, or the rights of any third party, without prior notice. Guest List does not endorse, verify, or assume responsibility for any content uploaded by users.

Event photos: Event photographs are owned by the Creator who uploaded them. Guests receive a personal, non-commercial license to view, download, and share photos from event galleries they have access to, subject to any restrictions set by the Creator.

Our content: All intellectual property rights in the Service itself (including software, design, trademarks, and documentation) are owned by Guest List or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal information and how we use cookies and similar technologies.

8. SMS and Text Messaging

By providing your phone number and using the Service, you consent to receive SMS text messages from Guest List for the following purposes:

  • Authentication: One-time passcodes (OTP) for account sign-in and verification;
  • Notifications: Alerts when new photos are available in your galleries.

Message and data rates may apply depending on your mobile carrier and plan. Message frequency varies based on your activity. You may opt out of notification messages at any time by adjusting your account settings or by replying STOP to any notification message. Opting out of notifications will not affect authentication messages, which are required to access your account. For help, reply HELP or contact us at ontheguestlistapp@gmail.com.

We will not use your phone number for marketing or promotional purposes. Consent to receive SMS messages is not a condition of purchasing any goods or services.

9. DMCA / Copyright Takedown

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, please review our full DMCA Takedown Policy for instructions on filing a takedown notice, counter-notification procedures, and our repeat infringer policy. Notices may be sent to ontheguestlistapp@gmail.com.

10. Service Updates and Interruptions

We may update, modify, or discontinue any aspect of the Service at any time without prior notice. You understand that temporary interruptions may occur as normal events in the provision of the Service. We are not liable for any modification, suspension, or discontinuation of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GUEST LIST, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Guest List and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) content you upload, share, or distribute through the Service, including claims by individuals depicted in such content; (b) your breach of any representation or warranty in these Terms; (c) your violation of any third party's rights, including intellectual property rights, privacy rights, or publicity rights; (d) your violation of these Terms or any applicable law; or (e) your use of the Service.

14. Dispute Resolution

Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the state of the respondent's principal place of business or as otherwise agreed.

Class action waiver: You agree that any arbitration or court proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. If this waiver is found unenforceable, the entirety of this arbitration provision shall be null and void.

30-day opt-out: You may opt out of the arbitration and class action waiver provisions by sending written notice to ontheguestlistapp@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, phone number, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, you and Guest List agree to resolve disputes in the courts specified in Section 15.

Exceptions: Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual property infringement or unauthorized data access.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles, except where preempted by federal law.

16. Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), and the International Traffic in Arms Regulations maintained by the U.S. Department of State. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which export of the Service would be restricted under applicable laws.

17. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time using the “Delete My Account” feature. Upon termination, your data will be handled in accordance with our Privacy Policy. Any provisions of these Terms that by their nature should survive termination shall survive (including Sections 11, 12, 13, 14, and 15).

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, DMCA Takedown Policy, and Data Processing Agreement (where applicable), constitute the entire agreement between you and Guest List regarding the Service and supersede all prior agreements and understandings.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
